1. Parties
This Distance Sales Agreement (the "Agreement") has been concluded electronically between the Seller determined under Article 1.4, on the one hand, and the natural or legal person who purchases a subscription or service electronically through Planfly, on the other.

In this Agreement, Mobiza Teknoloji may be referred to as the "Seller", the "Service Provider", the "Company" or "Planfly".
How the Seller is determined by purchase route is set out in Article 1.4.
1.2. Buyer / Customer
In this Agreement, the "Buyer" means the natural or legal person who purchases services through the Planfly website, the business dashboard, the payment page or other electronic sales channels offered by Planfly, and who declares registration and billing information electronically.
The Buyer's first and last name or trade name, email address, phone number, billing address, Turkish national ID number (T.C. kimlik numarası) or tax number, tax office, selected plan, billing period, payment method, order date and order amount consist of the information contained in the payment, order, invoice and system records.
1.3. Collective Reference to the Parties
The Seller and the Buyer will be referred to together as the "Parties".
1.4. Determination of the Seller
The Seller is determined by the purchase route and is named on the payment page and on the invoice or receipt:
- For web purchases in Turkish lira and all purchases collected through iyzico, the Seller and issuer of the invoice is Mobiza Teknoloji, whose details are set out in Article 1.1. This Agreement applies to these purchases.
- For orders paid on our website in currencies other than Turkish lira, the seller and Merchant of Record is Paddle.com Market Limited and the Paddle group companies named in Paddle's buyer terms ("Paddle"). Paddle buys the Planfly subscription or add-on service from Mobiza Teknoloji and resells it to the buyer; Paddle takes the payment and issues the invoice or receipt. This Agreement does not apply to these sales; Paddle's buyer terms govern the purchase. For these orders too, Mobiza Teknoloji provides the Planfly service under the Terms of Use (Terms of Use, Section 29.5).
For in-app purchases through the App Store or Google Play, the relevant store takes the payment, and payment, billing, renewal, cancellation and refunds are handled under the store's terms (Terms of Use, Section 14.1). The provisions of this Agreement on the scope and use of the service also apply to these purchases; mandatory consumer rights remain unaffected.
2. Definitions
Unless expressly stated otherwise in this Agreement, the following terms are used with the meanings set out below:
- Planfly / Platform / Service: the Planfly-branded online booking page, embeddable booking widget, calendar, staff and service management, customer records, appointment reminders, reporting and related digital services offered by Mobiza Teknoloji,
- Buyer / Customer: the natural or legal person who purchases services through Planfly,
- Business: the business account created on Planfly by the Buyer to which the subscription is linked,
- End User: a person who books an appointment through the Business's booking page or widget,
- Consumer: a natural or legal person acting for purposes other than commercial or professional ones,
- Foreign Consumer: a Buyer who is resident outside Türkiye or whose billing address is outside Türkiye and who purchases Planfly as a consumer, for purposes other than commercial or professional ones,
- Plan: the Free, Solo, Team and Business packages that allow use of the Planfly service with a specific scope and limits,
- Subscription: the time-limited right of use that allows the Buyer to use the Planfly service within the plan and billing period selected by the Buyer,
- Billing Period: the monthly or annual subscription period selected by the Buyer,
- Free Trial: the free usage period granted once per user account and per phone number, without card details being requested, upon mobile phone verification,
- Grace Period: the period granted before the service is restricted if the renewal payment cannot be collected,
- Message Credit: the unit, included in the plan or purchased separately, used to send appointment confirmation and reminder messages,
- Payment Provider: iyzico Ödeme Hizmetleri A.Ş. ("iyzico"), used for card payments, card storage, automatic renewal and refunds; and other authorized payment service providers that Planfly may use,
- Preliminary Information: all of the information on the service, price, payment, performance, right of withdrawal, refunds, disputes and contact details provided to the Buyer before the Agreement is concluded,
- Terms of Use: Planfly's Terms of Use governing the general use of the Planfly service,
- Privacy Policy / Privacy Notice / Cookie Policy: Planfly's separate texts on its personal data, privacy and cookie processes.
3. Subject of the Agreement
The subject of this Agreement is to set out, also taking into account the provisions of Law No. 6502 on Consumer Protection (Tüketicinin Korunması Hakkında Kanun) and the Regulation on Distance Contracts (Mesafeli Sözleşmeler Yönetmeliği), the principles governing the sale and electronic performance of the digital software service (SaaS subscription), plans, message credits, add-on services and related rights of use ordered electronically by the Buyer through Planfly, as well as payment, invoicing, subscription, renewal, plan changes, cancellation, refunds, the exception to the right of withdrawal, data processing, notices and the rights and obligations of the parties.
Planfly is a software service that provides online booking and appointment management infrastructure for hair salons, beauty centers, psychologists, dietitians, dental clinics, private medical practices, physiotherapists, veterinary clinics, Pilates and yoga studios, gyms, consulting offices and similar appointment-based businesses.
The Planfly service is entirely digital. There is no sale of physical products, and no shipping, postal delivery or hand delivery.
4. Scope of the Service
Within Planfly, depending on the selected plan, the technical configuration and the features offered at the relevant time, all or some of the following services may be offered:
- a dedicated online booking page for the business,
- a booking widget and iframe that the business can embed in its own website,
- calendar, staff, working hours, time off and holiday management,
- services, categories, durations, prices and service options,
- customer records, appointment history, tags and encrypted private notes,
- appointment confirmation and reminder emails,
- message reminders and the message credits included in the plan,
- intake form questions,
- recurring appointments,
- online meeting links,
- group classes and capacity management,
- reports and analytics,
- a booking page without the Planfly logo,
- a business-specific message sender ID,
- priority support.
The scope of the service is not the same for every plan and every period. Some features may be offered only on certain plans, in beta, under a special offer, or for an additional charge.
Planfly may update the scope of the service with prospective effect for reasons such as technical development, security, maintenance, product strategy, regulatory compliance, infrastructure or changes in third-party providers. If core features included in the plan are materially removed during a paid period, the Buyer is notified in advance and the Buyer's rights relating to the remaining period are reserved.
5. Digital Nature of the Service and Manner of Performance
Planfly is a digital software service and SaaS platform accessed over the internet.
After the payment is successfully completed, the Buyer obtains the right to access the Planfly service within the scope of the selected plan and billing period. The service is performed electronically and immediately upon payment confirmation by:
- assigning the selected plan to the business account,
- enabling the relevant limits and features,
- adding any message credits included in the plan to the account,
- initiating the payment and billing processes.
Since the purchased service is digital, no physical product is shipped and no shipping fee arises.
6. Buyer Status and B2B Use
Planfly's target audience is appointment-based commercial businesses and self-employed professionals. Planfly is therefore primarily a B2B digital service offered for use by businesses in their commercial or professional activities.
A person who creates an account, places an order or makes a payment on behalf of a business, company, private practice or organization accepts that they are authorized to represent that business, that the information they provide is accurate and current, and that they have the authority to bind that business under this Agreement.
However, if the Buyer qualifies as a consumer in a specific transaction, the mandatory provisions of Law No. 6502 on Consumer Protection and related consumer legislation remain unaffected. No provision of this Agreement may be interpreted in a way that removes or limits the rights of a Buyer who is a consumer arising from mandatory legislation.
An International Customer (Terms of Use, Section 29.1) additionally confirms on the payment page that it purchases Planfly in the course of its trade, business, craft or profession (including where it acts as a sole trader, self-employed professional or one-person business); a Buyer whose billing address is outside Türkiye and who purchases Planfly as a consumer declares this on the payment page instead, and Article 20.3 applies to that Buyer. The provisions of this Agreement that refer to Law No. 6502 on Consumer Protection, the Regulation on Distance Contracts, Consumer Arbitration Committees and consumer courts apply to transactions governed by Turkish law in which the Buyer qualifies as a consumer under Turkish law. Protective provisions of the law of the country where the International Customer is established that cannot be excluded by contract and that apply to the International Customer remain unaffected in all cases (Terms of Use, Section 29.3).
7. The Business's End Users
Planfly is a platform that provides technical infrastructure to businesses. The service relationship that a business using Planfly establishes with its own customers exists between that business and the end user.
Therefore, end users who visit the booking page, create an appointment, cancel or reschedule their appointment, or receive a reminder message are not considered direct customers of Planfly. The relevant business is responsible for the delivery, price, collection and cancellation terms of the service that is the subject of the appointment.
Unless expressly stated otherwise, Planfly is not a party to the service relationship between the business and the end user. Provisions on the processing of end user data are set out in the data processing section of the Terms of Use.
8. Conclusion of the Agreement
This Agreement is concluded electronically when the Buyer completes the required order and confirmation steps through the Planfly business dashboard, the payment page or other electronic sales channels provided by Planfly. No physical signature is required to conclude the Agreement.
The Agreement is generally concluded upon completion of the following steps:
- The Buyer creates a Planfly account or signs in to an existing account.
- Email verification is carried out where required.
- The Buyer selects the plan it wishes to purchase from the subscription page.
- A monthly or annual billing period is selected.
- Billing information is entered or updated.
- The Preliminary Information and this Distance Sales Agreement are presented to the Buyer electronically.
- By giving the relevant confirmations, the Buyer enters its card details on the Planfly payment page or in the iyzico secure payment form and completes the payment with 3D Secure verification where required.
- When the payment is successful, the plan is activated immediately and the Buyer is informed by email.
The Buyer declares that, at the payment stage, it has seen and accepts the selected plan, the billing period, the price excluding VAT, the VAT amount, the total price including VAT, any plan change difference calculation, and the automatic renewal, cancellation and refund terms shown in the order summary.
9. Preliminary Information
Before the Agreement is concluded, the Seller informs the Buyer clearly and comprehensibly about the following:
- the Seller's identity and contact details,
- the essential characteristics of the service and the scope of the selected plan,
- the billing period and whether the subscription renews automatically,
- the digital nature of the service and the fact that it will be performed electronically and immediately,
- the price excluding VAT, the VAT amount and the total price including VAT,
- the payment method,
- any discount, campaign or price difference calculation,
- the right of withdrawal and the exception to the right of withdrawal,
- for Foreign Consumers, the conditions, time limit and procedure for exercising the right of withdrawal, the proportionate amount and the model withdrawal form,
- Planfly's voluntary refund policy,
- cancellation, plan change and subscription termination terms,
- basic information on the processing of personal data,
- complaint and application channels and dispute resolution methods.
The Buyer accepts that it has read and approved the Preliminary Information and this Agreement electronically before completing the payment.
10. Plans, Pricing and Taxes
Planfly may offer a free trial, the Free plan, publicly available paid plans, special offers and add-on services.
10.1. Public Plans
The list prices in effect as of the date on which this Agreement is viewed are as follows:

List prices are based on US dollars (USD); the Turkish lira (TL) prices in parentheses are calculated at a fixed exchange rate (1 USD = 50 TL), rounded to the nearest amount ending in .99 (e.g. 649.99 TL), and do not change with the daily exchange rate. Buyers whose billing address is in Türkiye are charged in Turkish lira; orders placed on our website by customers whose billing address is abroad are paid to Paddle in US dollars or another currency shown on the Paddle checkout, and Paddle is the seller for these orders (Article 1.4). The payment currency is determined by the country selected in the billing information on the subscription page. Renewals, plan change price differences, and extra staff seat and extra branch fees are invoiced in the same currency in which the subscription started; a change of billing country takes effect from the next new subscription.
10.2. Totals Including VAT
VAT is applied to Planfly services in accordance with applicable legislation. Current pricing is based on a VAT rate of 20%. VAT at the same rate is also added to the invoices of Buyers whose billing address is abroad.

For Paddle orders, taxes are calculated by Paddle based on the buyer's location and tax status, shown on the checkout and charged by Paddle (Article 1.4).
The final total price shown to the Buyer on the payment screen is the price calculated taking into account the selected plan, the billing period, VAT and any discount, campaign, plan change price difference and add-on services. The price that binds the Buyer is the price shown in the order summary at the time of payment.
10.3. Annual Plan Advantage
Annual plans are priced more favorably than monthly payment. The annual plan fee is collected in advance and provides the right to use the service throughout the selected annual period.
10.4. Custom Plans and Special Offers
Special offers may be created on Planfly for chain businesses, enterprise users or high-volume needs. For special offers, the applicable price, scope, duration and payment terms are shown to the Buyer in the relevant offer, on the payment page or in the order summary.
10.5. Price Changes
Planfly may update plan fees and add-on service fees with prospective effect, as a rule no more than once a year, usually in January, taking into account official inflation data and cost increases. The fee already paid for the current subscription period is not changed retroactively.
Price changes are applied according to the following principles:
- Advance notice: The new price and its effective date are announced at least 30 days before the effective date by a notice sent to the Buyer's registered email address and on the subscription page of the business dashboard.
- Monthly subscriptions: Billing periods that start before the effective date are billed at the current price; the new price is billed from the first renewal that starts after that date.
- Annual subscriptions: The price does not change during the prepaid annual period; the new price applies at the renewal at the end of the paid period.
- Right to cancel: A Buyer who does not accept the new price may cancel its subscription from the subscription page before the renewal at which the new price will apply, without paying any fee or contractual penalty; in this case, the Buyer continues to use the service until the end of the paid period. A subscription that is not cancelled renews at the new price on the renewal date.
- One-time purchases: For additional message packs, the price shown on the payment screen at the time of purchase applies.
For consumer transactions, the provisions of mandatory consumer legislation remain unaffected.
11. Plan Features
Planfly plans include the following features, according to the technical capabilities offered at the relevant time:

Plan features may be updated with prospective effect due to technical development, product strategy, third-party provider limitations, or security or regulatory compliance requirements. Current plan scopes are available on the pricing page.
12. Payment Methods
The following payment methods may be used on Planfly:

For card payments, the payment transaction is carried out through the payment provider's secure payment infrastructure. The bank, the card organization or the payment provider may apply security, verification, 3D Secure, fraud control or risk assessment processes.
For special offers, payment by bank transfer / EFT may be accepted if separately agreed by the parties; in this case, the service is activated after the payment has been credited to and verified on the Seller's accounts.
13. Payment Provider and Card Data
Planfly uses the iyzico Ödeme Hizmetleri A.Ş. infrastructure for card payments, card storage, automatic renewal and refund processes.
Card details are transmitted to iyzico over an encrypted connection during payment; Planfly processes this information only for the duration of the transmission. Planfly does not store the full card number or the CVV/CVC in its own systems; for payments made with iyzico, the card's expiry date is not stored either. As part of payment processes, Planfly processes only the following limited data:
- payment status,
- transaction and reference number,
- payment date, amount and the period it covers,
- payment method,
- card type or card scheme,
- the masked last four digits of the card,
- if card storage has been chosen, the card and customer reference keys (tokens) generated by iyzico,
- payment verification and confirmation records.
If the Buyer uses the card storage option, card details are kept in iyzico's secure card storage infrastructure. The Buyer may change or remove its saved card from the subscription page. If the saved card is removed, automatic renewal cannot be carried out and the next payment must be made manually by the Buyer.
14. Automatic Renewal
If the Buyer consents to card storage and automatic renewal, paid subscriptions renew automatically for the same plan and period at the end of the selected billing period. The renewal fee is charged to the saved default card on the renewal date, and the new period starts from the end of the previous period.
The Buyer:
- may stop automatic renewal at any time by cancelling its subscription before the period ends,
- continues to use the service until the end of the paid period after cancellation,
- receives the invoice and the notification for the renewal payment by email.
If the automatic payment fails, Planfly sends the Buyer an email or dashboard notification, may attempt to charge the saved card again, and enables the Buyer to pay from the dashboard. In this case, the grace period provisions set out in Article 19 apply. If the bank requests additional verification (3D Secure) for the renewal charge, a confirmation link may be sent to the Buyer by email and dashboard notification; the payment is deemed not to have been received until the confirmation is completed.
For Buyers who are consumers, the provisions of mandatory consumer and subscription legislation on the renewal and termination of fixed-term subscriptions and on automatic payment processes remain unaffected.
For International Customers, additional provisions on the disclosure of automatic renewal, consent to it, reminders and cancellation are set out in Section 29.4 of the Terms of Use.
15. Invoicing
Invoices for sales made by Mobiza Teknoloji are issued as e-Invoices (e-Fatura) or e-Archive Invoices (e-Arşiv Fatura) in accordance with applicable tax legislation.
For in-app purchases, the purchase receipt is provided by the relevant store.
The invoice is generated based on the billing information declared by the Buyer on the subscription page. The Buyer accepts that the billing information is accurate, current and complete. Liability arising from incorrect or incomplete billing information rests with the Buyer.
Invoices are issued electronically and sent to the Buyer's registered email address or made available in the dashboard. Separate invoices may be issued for subscriptions, renewals, plan changes and add-on services.
16. Free Trial
Planfly grants the Buyer a 14-day free trial for use in one of its businesses. During the free trial, the business may use the features and limits of the Team plan.
No card details are requested for the free trial. To start the trial, the Buyer must verify its mobile phone number with a one-time code sent by message. The trial right can be used only once per user account and per phone number; no new free trial is granted to other businesses created with the same account or to other accounts opened with the same phone number. If the Buyer does not start the trial, the business opens on the Free plan; an unused trial right can be started later from the dashboard.
No fee is charged to the Buyer automatically at the end of the free trial. The Buyer is informed by email shortly before the free trial ends. For free trials started through the App Store or Google Play, the store's terms and Section 14.1 of the Terms of Use apply instead of this Article.
If no paid plan is purchased by the end of the free trial, the business automatically moves to the Free plan. In this case:
- the business's data, appointments and customer records are not deleted,
- the Free plan limits (such as the number of staff members and the number of monthly appointments) start to apply,
- features not included in the Free plan (e.g. message reminders, intake questions, reports) are disabled,
- the Planfly attribution is displayed on the booking page.
To prevent abuse of the free trial, Planfly may restrict repeated trial use with the same person, email address, phone number, business or payment instrument.
17. Message Credits and Add-On Services
On plans that include message reminders, the message credits included in the plan are added to the account for each billing period. Unless otherwise stated, unused credits do not roll over to the next period, cannot be converted into cash and are not refunded.
One message credit means one send of a length that the carrier counts as a single message; long messages or messages containing Turkish characters may use more than one credit. When credits run out, message sending stops, while email notifications continue.
Use of a business-specific message sender ID depends on the Buyer providing the documents required for sender ID allocation and on carrier approval. The Seller is not responsible for delays arising from approval processes.
17.1. Additional Message Packs
A Buyer on a paid plan may purchase additional message packs from the subscription page. The current bundles and their prices are as follows:

Additional message packs are one-time purchases and do not renew automatically. Bundle credits are valid for 12 months from the date of purchase; at the end of this period, unused credits expire and cannot be converted into cash, transferred or refunded. When messages are sent, the plan's monthly credits are used first and, once they run out, the bundle credits with the nearest expiry date are used. If the Buyer moves to the Free plan, bundle credits are kept for their validity period and can be used when message reminders are turned back on.
17.2. Extra Staff Seats
On the Team plan, in addition to the 5 staff members included in the plan, extra staff seats can be purchased up to a total of 10 staff members for a monthly fee of $3.99 (₺199.99) per person (excl. VAT; $39.99 (₺1,999.99) per person with annual billing). On the Business plan, in addition to the 20 staff members included in the plan, extra staff seats can be purchased with no upper limit for a monthly fee of $2.99 (₺149.99) per person (excl. VAT; $29.99 (₺1,499.99) per person with annual billing).
For increases made in the middle of a billing period, the fee for the added staff members corresponding to the remaining number of days is charged, and the increase takes effect upon payment. Reductions take effect at the end of the current billing period; no refund is made for the remaining period. The extra staff seat fee is shown as a separate line item on renewal invoices and renews together with the subscription. If the Buyer switches to another plan or the subscription ends, the extra staff seats also end; staff members exceeding the staff limit may be closed to online booking under Article 18.3.
17.3. Extra Branches
On the Business plan, in addition to the 2 open branches included in the plan, extra branches can be purchased for a monthly fee of $9.99 (₺499.99) per branch (excl. VAT; $99.99 (₺4,999.99) per branch with annual billing).
There is no upper limit on extra branches. For increases made in the middle of a billing period, the fee for the added branches corresponding to the remaining number of days is charged, and the increase takes effect upon payment. Reductions take effect at the end of the current billing period; no refund is made for the remaining period. The extra branch fee is shown as a separate line item on renewal invoices and renews together with the subscription. If the Buyer switches to another plan or the subscription ends, the extra branches also end; branches exceeding the branch limit may be closed to online booking under Article 18.3.
17.4. Other Add-On Services
The Buyer may also purchase other add-on services, where offered. The scope, price and validity period of add-on services, and whether they are one-time purchases, are shown to the Buyer at the time of purchase. If the main subscription ends, add-on services linked to the subscription may also end.
18. Plan Changes
The Buyer may change its plan to a higher or lower plan from the subscription page.
18.1. Upgrading
When upgrading, a prorated price difference is calculated taking into account the time remaining in the current billing period. In this calculation, the fee of the current plan corresponding to the unused period is deducted from the fee of the new plan corresponding to the remaining period. The calculated price difference is shown on the payment screen and charged.
Upon payment of the price difference, the new plan becomes active immediately; the end date of the current billing period does not change, and the next renewal is made at the new plan's price. The calculation for a change of billing period (e.g. switching from monthly to annual) is also shown separately on the payment screen.
18.2. Downgrading or Switching to the Free Plan
Downgrading or switching to the Free plan takes effect at the end of the current paid billing period. The current plan features remain available until the end of the period. No refund is made for the current period due to a downgrade. For Buyers who are consumers, the provisions of mandatory legislation remain unaffected.
18.3. Exceeding Limits
If, as a result of a plan change, a reduction in extra staff seats or extra branches, or the end of the subscription, current usage exceeds the new limits, then, for example, staff members or branches exceeding the limit may be closed to online booking, new online bookings may not be accepted once the monthly appointment limit is reached, or plan-specific features may be disabled. This does not result in the deletion of existing appointments and customer records.
19. Late Payment, Grace Period and Switching to the Free Plan
If payment cannot be collected on the renewal date, the subscription moves to the "awaiting payment" status and the Buyer is informed by email.
The Buyer is granted a 7-day grace period from the renewal date. During the grace period:
- the service and the current plan features remain available,
- a payment warning is displayed in the dashboard,
- the saved card may be charged again,
- the Buyer can continue its subscription without interruption by paying from the subscription page.
If payment is not completed by the end of the grace period, the subscription ends and the business is moved to the Free plan limits. In this case, the business's data is not deleted; the Buyer can regain access to the plan features at any time by purchasing a paid plan again.
20. Right of Withdrawal and Exception to the Right of Withdrawal
The right of withdrawal applies as set out below, depending on the capacity in which the Buyer makes the purchase and on its billing address.
20.1. Consumers with a Billing Address in Türkiye
For Buyers who are consumers, distance contracts are, as a rule, subject to a 14-day right of withdrawal.
However, the Planfly service is a digital service provided electronically, and its performance begins immediately upon payment confirmation. Therefore, under Article 15 of the Regulation on Distance Contracts, the right of withdrawal cannot be exercised for contracts relating to services performed instantly in electronic form.
The Buyer accepts that it is aware of the digital nature of the Planfly service, that performance of the service will begin electronically and immediately upon payment confirmation and that, for this reason, the right of withdrawal cannot be exercised, and that it consents to the immediate performance of the service.
The exception to the right of withdrawal does not remove the Buyer's rights arising from defective service, incomplete performance or non-performance, or its other rights arising from mandatory legislation.
20.2. Businesses
A Buyer that purchases Planfly for its commercial or professional activity has no statutory right of withdrawal, wherever its billing address is; Planfly's voluntary cancellation and refund policy in Article 21 applies to that Buyer. A Buyer whose billing address is outside Türkiye declares at the payment step that it is purchasing Planfly for its business or profession and not as a consumer. The Seller acts in reliance on this declaration, and the Buyer is responsible for its accuracy.
20.3. Foreign Consumers
For orders placed on our website in currencies other than Turkish lira, the seller is Paddle, and this Agreement does not apply to those sales (Article 1.4). The statutory right of withdrawal and refund requests of consumers resident outside Türkiye for those orders are handled by Paddle under Paddle's buyer terms and Paddle's refund policy. These requests are sent to Paddle through the Paddle customer portal at paddle.net or the link in the Paddle receipt email; requests sent to support@planfly.app are also forwarded to Paddle. Planfly's refund commitment for these orders is set out in Section 3 of the Refund and Delivery Policy. For purchases made through the App Store or Google Play, withdrawal and refund requests are sent to the relevant store under Article 20.4.
Article 20.1 applies to a Foreign Consumer who purchases Planfly from Mobiza Teknoloji under the first item of Article 1.4. Any wider mandatory rights that the Foreign Consumer has under the law of its place of residence and that cannot be excluded by contract remain unaffected; for example, the right of withdrawal arising, for consumers resident in the European Union or the European Economic Area, from the legislation transposing Directive 2011/83/EU on consumer rights and, for consumers resident in the United Kingdom, from the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may be exercised where and on the terms on which that legislation applies to the specific transaction. The Planfly service starts immediately upon payment confirmation; at the payment step, the Foreign Consumer expressly requests that the service start immediately, before the withdrawal period ends.
Exercising the right of withdrawal and its effects. To exercise any right of withdrawal it has, the Foreign Consumer informs the Seller of its decision before the withdrawal period expires, by a clear statement sent to support@planfly.app or with the model withdrawal form below (its use is not obligatory); it is sufficient to send the notice before the period expires, and receipt of the notice is acknowledged by email without undue delay. The subscription or add-on service withdrawn from ends when the withdrawal notice is given; on withdrawal from a subscription, the business moves to the Free plan, and the business's data is not deleted and can be exported from the dashboard. Where the applicable legislation permits, a proportionate amount for the service provided until the withdrawal notice may be deducted from the refund; no proportionate amount is charged on the first paid purchase made for a business, and the full amount paid is refunded. The refund is made within 14 days at the latest from the day the withdrawal notice reaches the Seller, to the payment instrument used for the payment and through the payment provider that received the payment; the Buyer is not charged any fee for the refund.

20.4. Purchases Made Through the App Store and Google Play
For subscriptions and add-on services purchased in the Planfly mobile app through the App Store or Google Play, payment, invoicing, renewal, cancellation, refunds and withdrawal are handled by the relevant store (Apple or Google) under its own terms. Refund and withdrawal requests for these purchases are sent to the relevant store through the store's purchase history and refund tools; the Seller does not refund these payments through its own payment infrastructure. If the store approves a refund or withdrawal, the relevant subscription or add-on service ends immediately. The rights of consumers arising from mandatory legislation remain unaffected.
21. Planfly's Voluntary Cancellation and Refund Policy
Despite the statutory exception to the right of withdrawal, as a matter of customer satisfaction, Planfly may cancel the subscription and refund the full amount paid if this is requested within 14 days from the date of the first paid purchase made for a business.
This right is the Seller's voluntary commercial policy and does not constitute a statutory right of withdrawal.

Voluntary refund requests are sent to support@planfly.app from the account owner's registered email address. For Buyers who are consumers, mandatory provisions on subscriptions, termination, fees for unused periods and defective services remain unaffected.
Any right of withdrawal that Foreign Consumers have under Article 20.3 applies independently of this policy. For orders placed through Paddle, refunds are made by Paddle under Section 3 of the Refund and Delivery Policy, not under this policy.
22. Subscription Cancellation
The Buyer may cancel its subscription at any time from the subscription page in the business dashboard. For security reasons, cancellation can only be performed by a user with the business owner role.
Cancellation takes effect at the end of the current billing period, and automatic renewal is stopped. The Buyer continues to use the service until the end of the paid period; at the end of the period, the business moves to the Free plan. For cancellations made during the free trial, the business moves to the Free plan immediately.
Cancelling the subscription does not mean deleting the business account. Deletion of the business and its data must be requested separately from the business settings.
For Buyers who are consumers, statutory rights relating to the termination of subscription contracts and to unused periods remain unaffected.
23. Refund Method
Where a refund is due, it is made to the card used for the payment and through the payment provider that received the payment (iyzico). The time it takes for the refund to appear on the card depends on the processes of the bank and the card organization; the Seller is not responsible for these periods.
For in-app purchases, refunds are made through the store that took the payment (Apple or Google) and under the store's refund rules (Terms of Use, Section 14.1). For orders placed through Paddle, refunds are made by Paddle to the original payment method under Section 3 of the Refund and Delivery Policy.
For refunds of payments made by bank transfer / EFT, the Buyer may be asked for bank account details.
During the refund process, the Seller may request additional information or verification in order to prevent unjustified or duplicate refund requests, ensure payment security and keep accounting records accurate.
24. Data Retention and Deletion
When the subscription is cancelled or ends, the business account and data are not deleted; the business can continue to be used under the Free plan.
The business owner may export customer data from the dashboard before deleting the business. If the business is deleted, the business's appointment, customer, staff, service and media records are deleted or anonymized, subject to legal retention obligations and the backup cycle.
Invoices, accounting records, payment transaction records, agreement and consent records, security logs and other records that must be retained under legislation are kept for the statutory periods.
25. Personal Data, Privacy and Cookies
Planfly processes personal data in accordance with applicable data protection legislation. Planfly's personal data processing activities are explained in:
- the KVKK Privacy Notice,
- the Privacy Policy,
- the Cookie Policy,
- explicit consent texts, where required,
- the relevant application mechanisms.
With regard to end user data processed through the Buyer's business, the Buyer is the data controller and the Seller is the data processor. The Buyer accepts that it has the necessary legal basis for processing end users' data, that it has informed end users as required and that it has obtained explicit consent where required. The provisions applicable to this relationship are set out in the data processing section of the Terms of Use.
26. Third-Party Services
Planfly uses third-party service providers for providing the service, payment processing, notifications, hosting and security. These providers include iyzico (payments), Netgsm (messaging), Cloudflare (content delivery, file storage and network security), email delivery services and hosting service providers.
Third-party services may have their own terms of use, privacy policies, technical limitations or outage processes. Planfly does not guarantee that third-party services beyond its control will operate without interruption or error.
27. Buyer's Obligations
The Buyer accepts that:
- the information it provides is accurate, current and complete,
- it will use its Planfly account in accordance with the law and the principle of good faith,
- it is responsible for the actions carried out through its own account and by its team members,
- it will keep its password and access credentials secure,
- the content it uploads to Planfly is lawful and does not infringe third-party rights,
- it is responsible for the accuracy of service, price, working hours and staff information,
- it will not use the appointment reminder infrastructure to send commercial electronic messages, spam or misleading content,
- it will process end users' personal data in accordance with the law,
- it will not attempt to access systems without authorization, scrape data or reverse engineer,
- it will use the service in a way that does not overload or disrupt it or prevent other users from using it.
If the Buyer breaches these obligations, Planfly may remove content, restrict access, suspend the account, terminate the subscription or pursue the necessary legal remedies.
28. Seller's Obligations
Planfly makes reasonable efforts to:
- provide the service within the selected plan and technical scope,
- activate the plan immediately after payment confirmation,
- carry out the invoicing and payment confirmation processes,
- take reasonable technical and organizational measures for the security and continuity of the service,
- process personal data in accordance with the relevant legislation,
- respond to support requests within a reasonable time,
- give advance notice of planned maintenance and significant changes, as far as possible,
- act in accordance with mandatory consumer legislation in consumer transactions.
Planfly does not undertake that the service will always operate without interruption or error, that it will be fully compatible with all devices and browsers, or that it will guarantee a particular business result.
29. Service Continuity, Changes and Maintenance
Planfly makes reasonable efforts to keep the service secure, up to date and functional. However, the service may be temporarily slowed down, limited or interrupted due to:
- planned maintenance,
- urgent security updates,
- infrastructure changes,
- outages of third-party services, messaging carriers or payment providers,
- cyber attacks and abuse attempts,
- data center or cloud infrastructure problems,
- internet, power or network outages,
- force majeure,
- legal or administrative requirements.
Planfly endeavors to carry out planned maintenance, as far as possible, during hours when appointment traffic is low and to announce it in advance.
30. Intellectual Property Rights
The intellectual and industrial property rights in the software, design, interface, trademark, logo, domain name, trade dress, database structure, code, text, images, documentation and all other elements relating to Planfly belong to Mobiza Teknoloji or the relevant right holders.
The Buyer is granted only a limited, non-transferable, non-exclusive and revocable right of use within the scope of the selected plan, the subscription period and this Agreement. Without the Seller's written permission, the Buyer may not copy, reproduce, sell, license or transfer elements belonging to Planfly, create derivative works from them, or attempt to decompile them into source code.
Logos, images, service descriptions, prices and similar content that the Buyer uploads to Planfly, as well as end user data, belong to the Buyer. The Buyer permits Planfly to use this content to the extent necessary for providing, hosting, backing up, processing and displaying the service.
31. Disclaimer of Representations and Warranties
Subject to mandatory legal obligations, the Planfly service is provided "as is" and "as available". In particular, Planfly does not guarantee:
- the achievement of a particular business result,
- a particular increase in appointments, customers or revenue,
- the timely delivery of every notification under all circumstances,
- the continuous operation of third-party services,
- the lawfulness or accuracy of user content,
- the service always being uninterrupted or completely secure.
Mandatory statutory rights granted to consumers, mandatory provisions on defective services, and cases of gross negligence, willful misconduct and liability that cannot be limited by law remain unaffected.
32. Limitation of Liability
Subject to liabilities arising from mandatory legislation, non-waivable rights granted to consumers, gross negligence, willful misconduct and cases of liability that cannot be limited by law, Planfly's liability under this Agreement is limited to the maximum extent permitted by law.
Planfly cannot be held liable for indirect damages, loss of profit, loss of data, loss of reputation, loss of business opportunity, missed appointments, third-party claims or consequences arising from disputes between the Buyer and its own customers.
For B2B use by businesses, and to the extent permitted by mandatory provisions, Planfly's total liability is limited to the net service fee actually paid by the Buyer to Planfly in the last 12 months before the event giving rise to the claim.
33. Force Majeure
Circumstances that occur beyond the reasonable control of the Parties and that wholly or partially prevent the performance of obligations arising from this Agreement are deemed force majeure. Examples include natural disasters, earthquakes, fire, flood, war, terrorism, epidemics, strikes, decisions of public authorities, internet infrastructure or power outages, general outages in the systems of payment institutions, banks or messaging carriers, cyber attacks, data center failures and outages caused by cloud providers.
During force majeure, the Parties' obligations are suspended to the extent that they are affected.
34. Notices
Planfly sends the Buyer transactional notifications relating to the service, security alerts, technical announcements, payment and invoice notifications, reminders about the end of the free trial, renewal and failed payment notifications, cancellation notifications and support messages. These notifications are communications necessary for performing the agreement and providing the service.
Marketing and campaign commercial electronic messages, on the other hand, are subject to separately obtained consent.
Notices are sent to the email address registered in the Buyer's account. The Buyer is obliged to keep its contact information up to date.
35. Amendments to the Agreement
Planfly may update this Agreement with prospective effect due to the scope, technical structure, pricing or plans of the service, security requirements, regulatory compliance needs or its commercial policies.
The current text of the Agreement enters into force on the date it is published on the Planfly website and applies to purchases and renewals made after the publication date. For material changes, the Buyer is informed by email or dashboard notification. For consumer transactions, the provisions of mandatory consumer legislation remain unaffected.
36. Storage of and Access to the Agreement
This Agreement is stored electronically. The Buyer can access, print or save the Agreement before and after payment at planfly.app/en/legal/distance-sales-agreement.
After each paid order, the Foreign Consumer receives this Agreement, the information on the right of withdrawal, the model withdrawal form and the record of its request and acknowledgement for the immediate start of the service as a PDF attached to the payment confirmation email.
Planfly retains the Agreement confirmation records, the order summary, payment records, invoice records and related system records for the periods prescribed by legislation.
37. Dispute Resolution
With respect to purchases from Mobiza Teknoloji, this Agreement is governed by the laws of the Republic of Türkiye.
For transactions in which the Buyer qualifies as a consumer under Turkish law, Consumer Arbitration Committees (Tüketici Hakem Heyeti) have jurisdiction over disputes within the monetary limits announced by the Ministry of Trade for the relevant year, and Consumer Courts have jurisdiction over disputes exceeding these limits. In consumer transactions, the Buyer's right to apply to the competent authorities at its place of residence or at the place where the consumer transaction took place remains unaffected.
If the Buyer is a merchant, a company, a tradesperson (esnaf), a self-employed professional or a person acting for commercial / professional purposes, jurisdiction over disputes arising from this Agreement lies with Bursa Central (Osmangazi) Courts and Enforcement Offices.
Mandatory rules on jurisdiction and mandatory mediation provisions remain unaffected.
For International Customers, the mandatory local rights in Section 29.3 of the Terms of Use remain unaffected.

The Buyer can contact the Seller through the following channels regarding the Planfly service, payments, invoices, subscriptions, cancellations, refunds, personal data or other requests:

39. Electronic Confirmation
When the Buyer, while purchasing services through Planfly, electronically confirms that:
- it has read and accepts the Preliminary Information,
- it has read and accepts this Distance Sales Agreement,
- it has been informed about the selected plan, the billing period, the total price including VAT, the payment method, and the automatic renewal, cancellation and refund terms,
- the Planfly service is digital and its performance will begin electronically and immediately upon payment confirmation,
- no physical delivery will be made,
- it has been informed about the exception to the right of withdrawal,
- if its billing address is outside Türkiye, it has declared whether it is purchasing Planfly for its business or profession or as a consumer and, if purchasing as a consumer, it has expressly requested that the service start immediately, before the withdrawal period ends,
- personal data will be processed within the scope of Planfly's relevant privacy notices and privacy texts,
this Agreement is deemed to have been concluded and to have entered into force.
40. Entry into Force
This Agreement enters into force when the Buyer gives the required confirmations electronically and completes the payment, and remains valid throughout the subscription period, including renewals.
